Terms and Conditions

These Terms and Conditions ("Agreement") govern your use of the services provided by Printcloud Inc ("we," "us," or "our"). By using our services, you agree to be bound by this Agreement. If you do not agree to these terms, please refrain from using our services.

  1. Printing Services
    • Service Description: We offer document printing services, including but not limited to printing, copying, binding, and finishing of various types of documents. We strive to provide high-quality prints and accurate reproduction of your documents. However, we do not guarantee the accuracy or quality of any materials provided by you or any third party.
    • Copyright Responsibility: By submitting any materials for printing, you warrant that you have the necessary rights, permissions, and licenses to reproduce and print those materials. You agree to indemnify and hold us harmless against any claims, damages, or liabilities arising out of any infringement or unauthorized use of copyrighted materials.

  2. Ordering and Payment
    • Order Placement: To place an order, you must provide accurate and complete information, including document specifications, quantity, delivery address, and payment details. We reserve the right to refuse any order at our discretion.
    • Pricing and Payment: The prices for our printing services are provided on our website or as otherwise communicated to you. All prices are subject to change without notice. Payment for orders must be made in full at the time of placing the order, unless otherwise agreed upon in writing. We accept various payment methods, as indicated on our website or during the ordering process.
    • Order Cancellation: To request an order cancellation customers must contact Printcloud Inc via email at support@printcloud.ca with a written request for cancellation. Once an order is submitted and in production, it cannot be canceled or modified.
    • Refund/Reprint Request: To request a refund/reprint/credit for a completed job that is defective or not up to industry standards customers must contact Printcloud Inc via email at support@printcloud.ca within 6 days of received their order. Printcloud Inc will process the request and follow the quality assurance steps listed in our Quality Assurance terms. Printcloud Inc reserves the right to request proof of any defects by requesting emailed photos or the return of the defected order in full for review. In the event of a product return requested by Printcloud Inc, Printcloud Inc will provide the customer with a shipping label. We do not offer refunds, credits or exchanges for printed materials unless there is a defect in the printing that is directly attributable to us and directly alters the functionality of the prints. In such cases, we may, at our discretion, either refund the amount paid, offer a credit towards a future order or reprint the materials.
    • Shipping: Printcloud Inc is not responsible or liable for delays, non-deliveries or mis-deliveries by third party shipping services.

  3. Intellectual Property
    • Ownership: You retain all rights and ownership of the documents and materials provided by you for printing. We do not claim any ownership rights in your materials. However, you grant us a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and display your materials solely for the purpose of fulfilling your printing order.
    • Design and Editing: If you provide Printcloud Inc with any text, images, designs, or other content for incorporation into your order, you unconditionally guarantee that you have all appropriate and necessary right and authority to use such text, images, designs, or other content and that your use will not infringe any trademark, copyright, or other right of any other party.
    • Design Elements: The designs and/or written copy (collectively, "Designs") prepared by Printcloud Inc for you as part of our services may have similarities to Designs prepared by Printcloud Inc for other parties. You are obtaining no right or claim of any kind to any individual Design element or elements provided by Printcloud Inc and Printcloud Inc reserves the right to use the same or similar Design elements in other Print & Design Services or otherwise for other parties in the future. Except for the specific Print & Design Services content provided to Printcloud Inc by you, all rights in all Print & Design Services work product, including without limitation both final Designs and all interim and draft Designs, are retained by Printcloud Inc.
    • Design Usage: Your right to use any Designs prepared by Printcloud Inc for you is limited to the finished printed products in the form they are supplied to you by Printcloud Inc. You may not copy, disassemble, modify, or transfer any such Designs. Printcloud Inc is not required to provide you with an editable or modifiable design version unless previously stated in writing via email with a Printcloud Inc representative (representative email must end with @printcloud.ca).
    • Sample Work: Printcloud Inc reserves the right to use any Designs and/or your finished Print & Design Services project products as sample work for advertising and promotional purposes and for internal purposes. Customers can opt out of this by emailing support@printcloud.ca directly and requesting that any designs and finished products not be included in sample work.
    • Unauthorized Use: You agree not to use our services to reproduce or print any materials that infringe upon the intellectual property rights of others. We reserve the right to refuse any order that we believe may violate intellectual property laws or rights. You are solely responsible for ensuring that your materials do not infringe upon any copyrights, trademarks, or other proprietary rights.

  4. Limitation of Liability
    • Disclaimer: We make no warranties, express or implied, regarding the accuracy, reliability, or suitability of our printing services for any particular purpose. We disclaim all liability for any errors, omissions, or inaccuracies in the materials provided by you or any third party.
    • Indirect Damages: In no event shall we be liable for any indirect, consequential, incidental, punitive, or special damages arising out of or related to our services, even if we have been advised of the possibility of such damages.
    • Maximum Liability: Our maximum liability for any claim arising under this Agreement, whether in contract, tort, or otherwise, shall not exceed the amount paid by you for the specific order giving rise to the claim.
  5. General Provisions
    • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Ontario. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Ontario.
    • Entire Agreement: This Agreement constitutes the entire agreement between you and us regarding the subject matter herein and supersedes all prior or contemporaneous communications, agreements, and understandings, whether oral or written.
    • Severability: If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect.

  6. Service
    • Printcloud Inc reserves the right, in Printcloud Inc's sole discretion, to refuse to accept any Print & Design Services project or to terminate any Print & Design Services project prior to completion at any time and for any reason. You agree that Printcloud Inc shall have no liability of any kind to you or to any third party arising from such refusal or termination.

Printcloud Inc reserves the right to make changes to these Terms of Use and to the products and services offered by Printcloud Inc at any time without prior notice. You should review these Terms of Use, each time you utilize Printcloud Inc’s services.

By using our printing services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.
